الملخص
يتناول هذا البحث إشكاليات الحوكمة الشرعية في كيانات التقنية المالية الإسلامية غير المصرفية، كمنصّات التمويل الجماعي والتمويل بالأقران وتطبيقات الاستثمار الحلال، التي باتت تطرح منتجات متوافقة مع الشريعة خارج الإطار المصرفي التقليدي. وتنطلق المشكلة من وجود فجوةٍ بين أطر الحوكمة الشرعية القائمة -التي صُمّمت للمؤسسات المصرفية المكتملة الأركان- وطبيعة كيانات التقنية المالية الناشئة محدودة الموارد والواقعة غالباً خارج مظلّة الرقابة المصرفية. وهدف البحث إلى بيان خصائص هذه الكيانات وأثرها في متطلّبات الحوكمة، وتحليل مدى ملاءمة المعايير الدولية (AAOIFI و IFSB) لها، وتشخيص الفجوات التنظيمية والرقابية، واقتراح معالم إطار ملائم للحوكمة الشرعية فيها. واعتمد البحث المنهج الوصفي التحليلي والاستقرائي. وتوصّلت الدراسة إلى أن الفجوات تنتظم في مستويين: فجوات تتعلق بوجود المعيار وإلزامه، وفجوات تتعلق بملاءمته عند التطبيق؛ كما انتهت إلى وضع تصوّر لإطارٍ الحوكمة الشرعية يقوم على ثلاثة مبادئ حاكمة (وهي التناسب المنضبط، والمقاربة القائمة على المخاطر، والتأصيل المقاصدي) وأربعة معالم تطبيقية. وتوصي الدراسة الجهات التنظيمية والمعيارية بتبنّي هذا الإطار، وفي مقدّمته تأسيس مرجعية شرعية مركزية مُلزِمة تَحسم تباين الفتوى.
Abstract
This study addresses the challenges of Shariah governance in fintech entities that offer Islamic financial products, such as crowdfunding platforms, peer-to-peer (P2P) financing platforms, and halal investment applications outside the conventional banking framework. The problem arises from a gap between existing Shariah governance frameworks-designed for fully-structured banking institutions- and the nature of these emerging fintech entities, which have limited resources and largely operate beyond the scope of banking supervision. The study aims to identify the characteristics of these entities and their impact on governance requirements, to analyze the adequacy of international standards (AAOIFI and IFSB), to diagnose the regulatory and supervisory gaps, and to propose elements of a suitable Shariah governance framework. It adopts a descriptive-analytical and inductive method. The study finds that the gaps fall into two levels: gaps relating to the existence and enforceability of the standard, and gaps relating to its adequacy upon application. It further arrives at a conception of a Shariah governance framework built upon three governing principles, disciplined proportionality, a risk-based approach, and a maqāṣid-based foundation, and four practical components. The study recommends that regulatory and standard-setting bodies adopt this framework, foremost of which is the establishment of a binding central Shariah authority that resolves the divergence of fatwas.
